Technocircle OÜ Commercial Guarantee Terms

Effective from: 29 May 2026

1. General Provisions and Commercial Guarantor

1.1. These Commercial Guarantee Terms regulate the voluntary commercial guarantee provided for refurbished and pre-owned electronic devices purchased from the Technocircle OÜ online store (hereinafter the Commercial Guarantee).

1.2. The commercial guarantor is Technocircle OÜ, registry code 16845774, address Raatuse tn 23-23, 50603 Tartu, Tartu County, Estonia.

1.3. To exercise rights arising from the Commercial Guarantee, the buyer must contact Technocircle OÜ by e-mail at [email protected].

1.4. If the buyer is a legal entity or purchases the device for purposes related to their business, trade or professional activity, the Commercial Guarantee applies to the extent described in these Terms. The statutory consumer rights described in Section 9 apply only to buyers who are consumers.

1.5. If advertising or other information concerning the Commercial Guarantee made available by Technocircle OÜ before or at the time of purchase provides the buyer with more favourable Commercial Guarantee terms than these Terms, the more favourable terms shall apply, unless the relevant information was corrected before the conclusion of the sales contract in the same or a comparable manner.

1.6. These Commercial Guarantee Terms are published on the Technocircle OÜ website. The Commercial Guarantee Terms applicable to the purchase shall be those in force when the device was purchased, unless later terms are more favourable to the buyer.

2. Duration and Territorial Scope of the Commercial Guarantee

2.1. Refurbished and pre-owned electronic devices purchased from the Technocircle OÜ online store, including smartphones, tablets and laptops, are covered by a 12-month Commercial Guarantee. The special terms set out in Section 5 apply to the battery of the device.

2.2. The Commercial Guarantee period begins when the device is handed over to the buyer. If Technocircle OÜ sends the device to the buyer by parcel terminal, courier or another delivery service, the Commercial Guarantee period shall not begin before the device has been handed over to the buyer.

2.3. The Commercial Guarantee applies to devices sold by Technocircle OÜ and delivered to a buyer in a Member State of the European Union.

2.4. To use the Commercial Guarantee, the buyer must be able to prove the purchase. Proof of purchase may include, for example, an invoice, order confirmation, bank statement or another document showing that the transaction was concluded with Technocircle OÜ.

2.5. Normal cosmetic wear or signs of use corresponding to the condition grade of the device and clearly described before purchase shall not constitute a claim under the Commercial Guarantee, provided that they do not affect the agreed functionality of the device.

2.6. If a device has a specific characteristic, defect or deviation from what a consumer may ordinarily expect from such a device, the consumer shall be separately informed of it before purchase and must expressly and separately accept that deviation.

3. What the Commercial Guarantee Covers

3.1. The Commercial Guarantee covers a technical fault or functional defect of the device that becomes apparent during the Commercial Guarantee period and has not been caused by any circumstance excluded under Section 7.

3.2. Under the Commercial Guarantee, the buyer is not required to prove that a technical fault or functional defect covered by the Commercial Guarantee already existed when the device was handed over. However, the Commercial Guarantee does not cover normal wear and tear or damage caused by the buyer’s actions or by any other circumstance specified in Section 7.

3.3. In the event of a claim under the Commercial Guarantee, Technocircle OÜ shall inspect the device and remedy any defect covered by the Commercial Guarantee free of charge to the buyer.

3.4. In the event of a claim under the Commercial Guarantee, Technocircle OÜ shall repair the device or replace it with an equivalent device, taking into account the nature of the defect, the value of the device and the reasonableness of the selected solution. This does not restrict a consumer buyer’s right to exercise any statutory remedies available to them.

3.5. If the device is replaced, the same model and configuration shall be offered where possible. With the buyer’s consent, the replacement device may be a device that is equivalent or better in terms of its principal technical characteristics, intended purpose and value.

3.6. If repair or replacement of the device is not possible, or cannot be carried out within a reasonable period of time without causing significant inconvenience to the buyer, Technocircle OÜ shall refund the purchase price paid for the device after the device has been returned to Technocircle OÜ.

3.7. In the event of a claim under the Commercial Guarantee, Technocircle OÜ shall bear the reasonable costs associated with remedying the covered defect, including labour, materials, postage and transportation costs, provided that the buyer follows the return and shipping instructions issued by Technocircle OÜ.

4. Continuation of the Commercial Guarantee After Repair or Replacement

4.1. If the device is repaired under the Commercial Guarantee, the running of the Commercial Guarantee period shall be suspended for the period during which the buyer is unable to use the device because a defect covered by the Commercial Guarantee is being remedied. The Commercial Guarantee period shall be extended by the corresponding period of time.

4.2. If the device or a part of the device is replaced under the Commercial Guarantee, the Commercial Guarantee shall continue to apply to the replaced device or part until the end of the original Commercial Guarantee period or for three months from the date on which the replaced device or part is handed over to the buyer, whichever period ends later.

4.3. Clause 4.2 concerns only the voluntary Commercial Guarantee provided by Technocircle OÜ and does not exclude or restrict any statutory rights of a consumer buyer in relation to defects in a repaired or replacement device.

5. Commercial Guarantee for the Battery

5.1. The battery of a device is a consumable component whose performance and capacity naturally decrease through use.

5.2. The battery supplied with the device is covered by a 3-month Commercial Guarantee, beginning when the device is handed over to the buyer.

5.3. The Commercial Guarantee for the battery covers a technical failure or abnormal malfunction of the battery, including a situation where the battery does not allow normal use of the device due to a technical defect in the battery itself.

5.4. During the Commercial Guarantee period for the battery, the additional protection set out in clause 3.2 also applies to the battery, meaning that the buyer is not required to prove that a technical failure or abnormal malfunction of the battery covered by the Commercial Guarantee already existed when the device was handed over.

5.5. The Commercial Guarantee for the battery does not cover normal ageing of the battery or a gradual reduction in battery capacity resulting from normal use.

5.6. The expiry of the Commercial Guarantee period for the battery or the limitation set out in clause 5.5 does not exclude or restrict any statutory rights of a consumer buyer where the battery does not conform to the sales contract or where Technocircle OÜ is liable for a defect in the battery under applicable law.

6. Temporary Replacement Device During the Guarantee Procedure

6.1. As an additional benefit under the Commercial Guarantee, Technocircle OÜ shall, at the buyer’s request, provide a temporary replacement device for use free of charge if a smartphone, tablet or laptop subject to the guarantee procedure remains in the possession of Technocircle OÜ for the purpose of inspection, repair or replacement.

6.2. The temporary replacement device shall be provided to the buyer for use during the guarantee procedure after the device subject to the guarantee procedure has reached Technocircle OÜ or has been handed over to Technocircle OÜ.

6.3. The temporary replacement device does not have to be the same model, colour, storage capacity or cosmetic condition as the buyer’s device, but it must allow normal basic use of the relevant device category.

6.4. The temporary replacement device is provided solely for the duration of the guarantee procedure. The buyer must return it without delay after receiving the repaired or replacement main device, or after Technocircle OÜ has informed the buyer that the defect is not covered by the Commercial Guarantee and that the buyer has no basis for a free guarantee procedure.

6.5. In the case of a justified claim under the Commercial Guarantee, Technocircle OÜ shall bear the reasonable costs of sending the temporary replacement device to the buyer and returning it, provided that the buyer follows the shipping and return instructions issued by Technocircle OÜ.

6.6. The buyer is responsible for preserving and using the temporary replacement device with due care. The buyer is not responsible for wear arising from normal and careful use, but is responsible for any physical damage, liquid damage or other external damage caused while the temporary replacement device is in the buyer’s possession.

7. Circumstances Excluding Liability Under the Commercial Guarantee

7.1. The Commercial Guarantee does not cover a defect or damage to the extent that it has been caused by any of the following circumstances:

7.1.1. Normal cosmetic wear of the device, including signs of use, scratches or discolouration corresponding to its condition grade, provided that they do not affect the agreed functionality of the device.

7.1.2. Normal ageing of the battery or a natural and gradual reduction in battery capacity, except where the matter constitutes a technical failure or abnormal malfunction of the battery as described in Section 5.

7.1.3. A specific characteristic, defect or deviation of which the consumer was separately informed before purchase and which the consumer expressly and separately accepted.

7.1.4. Impact, dropping, bending, pressure damage, a cracked display, liquid damage, moisture, fire, lightning, overheating or any other external influence.

7.1.5. Use of the device contrary to the manufacturer’s ordinary usage or safety instructions.

7.1.6. Damage caused by the use of an unsuitable charger, cable, power source or accessory.

7.1.7. Opening, repairing, modifying or replacing parts of the device by a person not authorised by Technocircle OÜ, where the defect or damage is causally related to such activity.

7.1.8. A problem caused by software installed, modified or removed by the buyer after the device was handed over, unsupported third-party software, malware or security settings modified by the buyer, where the defect is causally related to such activity.

7.1.9. Removal, alteration or illegibility of the serial number, IMEI code or any other marking enabling the device to be identified, where this prevents reliable identification of the device as a device sold by Technocircle OÜ.

7.2. The Commercial Guarantee does not cover data, files, photographs, applications, accounts or settings stored on the device. Where possible, the buyer is responsible for backing up their data before handing over the device.

7.3. The exclusions set out in this Section do not exclude or restrict any statutory rights of a consumer buyer where Technocircle OÜ is liable for the defect in the device under applicable law.

7.4. Nothing in this Section restricts any statutory rights of a consumer buyer relating to software or security updates necessary for the device to conform to the sales contract, where such rights arise under applicable law.

8. Reporting a Claim Under the Commercial Guarantee and Handing Over the Device

8.1. If a defect becomes apparent, the buyer must stop using the device where continued use may worsen the defect or cause additional damage.

8.2. To report a claim under the Commercial Guarantee, the buyer must send an e-mail to [email protected] and, where possible, include the following information:

8.2.1. The buyer’s name and contact details.

8.2.2. The order number or other proof of purchase.

8.2.3. The device model and, where possible, the IMEI code or serial number.

8.2.4. A description of the defect in as much detail as reasonably possible.

8.2.5. Photographs or video explaining the defect, where relevant.

8.3. Before the device is shipped or handed over, Technocircle OÜ shall provide the buyer with the necessary return or handover instructions.

8.4. Where possible, before handing over the device the buyer must take the following steps:

8.4.1. Back up the data stored on the device.

8.4.2. Remove personal accounts and activation locks, including iCloud, Find My or Google account locks.

8.4.3. Remove the SIM card and memory card.

8.5. If the defect in the device prevents the removal of accounts, removal of activation locks or backing up of data, the buyer must notify Technocircle OÜ of this before handing over the device.

8.6. If a user account, screen lock or activation lock on the device prevents the device from being inspected or repaired, and its removal is possible for the buyer, Technocircle OÜ may suspend continuation of the guarantee procedure until the necessary access has been provided. The presence of an activation lock does not in itself exclude the validity of the Commercial Guarantee.

8.7. Technocircle OÜ shall inspect the device and inform the buyer of the outcome of the guarantee procedure and the proposed solution within a reasonable period of time.

9. Statutory Rights of Consumer Buyers

9.1. A consumer is a natural person who purchases a device for purposes outside their business, trade or professional activity.

9.2. The Commercial Guarantee provided by Technocircle OÜ is additional to the consumer’s statutory rights. The Commercial Guarantee does not exclude, restrict or replace the remedies available to a consumer free of charge where goods do not conform to the sales contract.

9.3. Under European Union consumer protection rules, a consumer purchasing goods from a trader, including refurbished and pre-owned devices, has at least two years of statutory protection where the goods do not conform to the sales contract. The law of some countries may allow a shorter liability period to be separately agreed for second-hand goods; Technocircle OÜ does not agree to such a reduction for refurbished or pre-owned devices under these Terms.

9.4. If applicable mandatory law provides the consumer with a longer liability period or protection that is otherwise more favourable, such protection shall remain fully available to the consumer.

9.5. Under European Union consumer protection rules, any lack of conformity that becomes apparent within at least one year from the date on which the device is handed over to the consumer is presumed to have existed at the time of handover, unless such a presumption is incompatible with the nature of the device or the nature of the defect. Applicable law may provide for a longer period during which this presumption applies.

9.6. If the device does not conform to the sales contract, the consumer may, under applicable mandatory law, be entitled to require repair or replacement of the device free of charge. If repair or replacement is impossible, unsuccessful, not completed within a reasonable period of time or causes significant inconvenience to the consumer, the consumer may be entitled to a price reduction or to terminate the contract and receive a refund.

9.7. If applicable mandatory law provides that a new liability period or claim period begins in respect of a repaired or replacement device or a remedied defect, the voluntary Commercial Guarantee period described in clause 4.2 does not restrict that right.

9.8. If Technocircle OÜ sells or delivers a device to a consumer located in another Member State of the European Union, the consumer retains all rights available to them under applicable mandatory consumer law. These Commercial Guarantee Terms do not deprive a consumer in a cross-border consumer contract of the protection guaranteed to them under applicable law.

9.9. A specific characteristic, defect or deviation separately disclosed to the consumer before purchase and expressly and separately accepted by the consumer shall not be treated as an undisclosed lack of conformity to the extent that the consumer accepted the relevant deviation.

10. Complaints, Dispute Resolution and Contact Details

10.1. Questions and claims concerning these Commercial Guarantee Terms, a defective device or the guarantee procedure may be submitted by e-mail to [email protected].

10.2. Technocircle OÜ shall respond to a complaint submitted by a consumer in writing or in a form which can be reproduced in writing, in the same form, within 15 days from receipt of the complaint, unless applicable mandatory law requires a shorter period or a period otherwise more favourable to the consumer.

10.3. If the complaint cannot be resolved within the period specified in clause 10.2, Technocircle OÜ shall inform the consumer of the reason for the delay in writing or in a form which can be reproduced in writing and shall specify a new reasonable period for responding.

10.4. If Technocircle OÜ refuses to satisfy the consumer’s claim in whole or in part, or if the consumer does not agree with the proposed solution, the consumer may refer the dispute to a competent out-of-court dispute resolution body or to a competent court in accordance with applicable law.

10.5. A consumer resident in Estonia may submit a dispute with Technocircle OÜ to the Consumer Disputes Committee operating under the Consumer Protection and Technical Regulatory Authority.

11. Amendment of These Terms

11.1. Technocircle OÜ may amend the Commercial Guarantee Terms in relation to future purchases.

11.2. The buyer shall be subject to the Commercial Guarantee Terms in force when the device was purchased, unless later terms are more favourable to the buyer.

11.3. Any amendment of the Commercial Guarantee Terms after the purchase has been made shall not reduce the rights granted to the buyer under the Commercial Guarantee or by law in connection with a purchase already completed.
